ll sistema delle imprese nella Cina continentale ha subito negli ultimi anni una serie di riforme volte a semplificare le procedure relative alla costituzione di società ad investimento straniero (FIE) che operano nel paese.
In particolare, a seguito della promulgazione del piano di sviluppo quadro per la Greater Bay Area (GBA) di Guanddong-Hong Kong-Macao, sono state introdotte diverse misure per favorire l’espansione delle società straniere in quest’area. Unitamente a queste favorevoli predisposizioni del governo cinese, va ricordato come il 14° Piano quinquennale annunciato dal Governo Centrale cinese nel marzo di quest’anno ha sottolineato l’espansione della domanda interna con un contesto imprenditoriale che risulta essere in costante miglioramento. Di conseguenza, un numero crescente di società straniere, soprattutto tramite Hong Kong, sta creando imprese interamente possedute nel GBA al fine di sfruttare sia le enormi possibilità di quest’area che come trampolino per esplorare il mercato interno cinese.
The enterprise system in mainland China has undergone a series of reforms in recent years aimed at simplifying procedures relating to the establishment of foreign-invested enterprises (FIEs) operating in the country. In particular, following the promulgation of the Guanddong-Hong Kong-Macao Greater Bay Area (GBA) Framework Development Plan, a number of measures have been introduced to facilitate the expansion of foreign companies in this area. Alongside these favorable predispositions of the Chinese government, it should be noted that the 14th Five-Year Plan announced by the Chinese central government in March of this year emphasized the expansion of domestic demand with a business environment that is steadily improving. As a result, an increasing number of foreign companies, especially through Hong Kong, are setting up wholly owned enterprises in the GBA in order to exploit both the enormous possibilities of this area and as a springboard to explore the Chinese domestic market.
Before going into detail about these opportunities, we provide a brief description from the GBA (Fig.1). The Greater Bay Area consists of 11 cities that are grouped into three regions: the east coast (Huizhou, Dongguan, Shenzhen, and Hong Kong), the west coast (Zhongshan, Zhuhai, Jiangmen, and Macau), and the north coast (Guangzhou, Foshan, and Zhaoqing).
Prima di entrare nel dettaglio di tali opportunità, forniamo una breve descrizione dalla GBA (Fig.1). La Greater Bay Area è composta da 11 città che vengono raggruppate in tre regioni: la costa orientale (Huizhou, Dongguan, Shenzhen e Hong Kong), la costa occidentale (Zhongshan, Zhuhai, Jiangmen e Macao) e quella settentrionale (Guangzhou, Foshan e Zhaoqing).
La GBA copre un’area di 56.000 kmq con dimensioni maggiori rispetto ad altre aree confrontabili a livello mondiale come la San Francisco Bay Area (18.000 kmq) e la Tokyo Bay Area (36.500 kmq). Mentre la sua popolazione di 70 milioni di abitanti è doppia rispetto a quella della Baia di Tokyo e ben superiore rispetto alla New York Metropolitan Area di 24 milioni.
Bisogna anche ricordare la vicinanza geografica della GBA rispetto alle economie in rapida crescita appartenenti all’ASEAN, l’Associazione delle nazioni del sud-est asiatico, che rappresenta una regione con una popolazione enorme di 650 milioni di abitanti.
Il PIL combinato delle città appartenenti a quest’area è stato pari a 11,6 trilioni di RMB nel 2019, pari all’11% del Pil complessivo ma con tassi di crescita superiori a quello dell’intero paese, e si prevede che la sua produzione economica entro il 2030 supererà sia quella della Tokyo Bay Area che della baia di New York.
Venendo alle opportunità presenti in quest’area, in un recente webinar organizzato da HKTDC è stato sottolineato come un numero crescente di aziende di Hong Kong stia sviluppando ramificazioni oltre confine nella GBA con lo scopo di facilitare le trattative con i partner commerciali, garantire gli ordini dei clienti e gestire il business nel continente. Dal 2013 ci sono state riforme progressive al sistema delle imprese cinese; i requisiti minimi di capitale sociale per le società a responsabilità limitata e le società per azioni sono stati eliminati riducendo i costi di costituzione per gli investitori stranieri. Più recentemente, nel gennaio 2020, sono entrate in vigore leggi a tutela degli interessi relativi ad investimenti stranieri con garanzia di parità di trattamento rispetto alle imprese nazionali con una forte semplificazione delle procedure per la creazione delle imprese che non richiede più l’esame e l’approvazione da parte del dipartimento del commercio di competenza ma, al contrario, le registrazioni relative alla costituzione di aziende FIE possono essere formulate tramite una piattaforma e-government one-stop che permette l’inoltro online di tutte le informazioni sugli investimenti richieste.

While its population of 70 million is double that of the Tokyo Bay Area and well above the New York Metropolitan Area of 24 million.
One must also remember the GBA’s geographic proximity to the fast-growing economies belonging to ASEAN, the Association of Southeast Asian Nations, which represents a region with a huge population of 650 million.
The combined GDP of the cities belonging to this area was RMB 11.6 trillion in 2019, accounting for 11% of the total GDP but with growth rates higher than that of the whole country, and its economic output by 2030 is expected to exceed that of both the Tokyo Bay Area and the New York Bay Area.
Coming to the opportunities present in this area, in a recent webinar organized by HKTDC it was pointed out that an increasing number of Hong Kong companies are developing cross-border branches in the GBA with the aim of facilitating negotiations with business partners, securing customer orders and managing business in the mainland. Since 2013, there have been progressive reforms to China’s enterprise system; minimum registered capital requirements for limited liability companies and joint stock companies have been eliminated, reducing incorporation costs for foreign investors. More recently, in January 2020, laws to protect interests related to foreign investment came into effect with guaranteed equal treatment to domestic enterprises with a major simplification of procedures for business establishment that no longer requires review and approval by the relevant commerce department but, instead, registrations related to the establishment of FIE companies can be formulated through a one-stop e-government platform that allows for online submission of all required investment information.
